Early Stage
Corporate Formation
Formation transactions for venture scale startups are our most common transaction. These engagements consist of the actual incorporation and post-incorporation setup, including equity division, asssessment and assignment of pertinent intellectual property, setting up the governance of the company, and taking care of some of the early tax and securities issues and filings.
Reincorporation
Many companies form as LLCs or are incorporated in states outside of Delaware. This can have short-term benefits, but most companies seeking to go the venture route are formed as Delaware corporations, on account of investor preference. We have worked with dozens of companies that are switching from their original entity type to a Delaware corporation, in preparation for or in connection with a venture finance round.

Seed and Venture Finance
Aside from corporate formations, this is our most common transaction. We have worked on over 200 financings, ranging in size from under $100,000 to over $25 million. We commonly work on convertible note, SAFE, preferred stock, and venture debt financings.

Stock Option Plans
Most tech startups look to compensate employees and consultants with equity. We routinely set up equity incentive plans for our clients to allow for equity awards such as stock options and restricted stock to be awarded.

We have worked on the target and purchaser side of acquihires for both private and public company buyers.
Target/Purchaser Representation
We have worked as both target-side and buyer-side representation on tech M&A deals, as well as advisors to individual stockholders and directors. Some of the representative transactions include robotics, gaming, edtech, telecom, software, and adtech acquisitions with buyers including Google and Oracle.
